Legal
Terms of Service.
Last updated: October 20, 2026
These Terms of Service (the "Terms") are a legal agreement between you and Sparcle Inc., a Delaware corporation with its principal office in Sunnyvale, California ("Sparcle," "we," "our," or "us"). Please read them carefully. They limit our liability and set out how disputes are resolved.
1. Acceptance of these Terms
By downloading, installing, accessing or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service for an organization, such as your employer, you agree to these Terms for that organization. In that case, "you" means both you and the organization.
Our Privacy Policy explains what data we do and do not collect. It is part of how we provide the Service, and you should read it alongside these Terms.
2. What these Terms cover
In these Terms, the "Service" means all of the following:
- The website at sparcle.app and its pages.
- Bolt, our desktop application for macOS, Windows and Linux, and the Bolt browser extension.
- The Bolt server and the Aeira data plane, software that organizations on paid plans deploy and run in their own infrastructure.
- Related software and materials, including updates, documentation and any support we provide.
"Your content" means anything you or your organization put into, connect to, or create with the Service. This includes files, messages, mail, notes, prompts, AI output, passwords and other credentials.
"Order form" means a signed order, quote, master services agreement (MSA), data processing agreement (DPA) or similar written agreement between Sparcle and an organization.
3. Changes to these Terms
We may change these Terms from time to time. When we do, we will post the new Terms on this page and update the "Last updated" date at the top.
If a change is material, we will also give notice in the app or on this website at least 30 days before the change takes effect. Changes required by law, or needed for security, take effect immediately.
If you keep using the Service after a change takes effect, you accept the new Terms. If you do not agree, stop using the Service.
Changes do not apply to a dispute that arose before the change was posted. For paid plans, changes do not override a signed order form until that order form renews.
4. Who may use the Service
You may use the Service only if all of the following are true:
- You are at least 18 years old, or the age of majority where you live if that is higher.
- You can form a binding contract under the law that applies to you.
- You are not barred from using the Service under the laws of the United States or any other country that applies to you, including sanctions laws.
If you use the Service for an organization, you confirm that you have the authority to accept these Terms on its behalf. If you do not have that authority, you may not use the Service for that organization.
The Service is not meant for children. Do not use it if you are under 18.
5. Your license to use Bolt
Bolt is proprietary software. It is not open source. We license it to you. We do not sell it to you.
Free use. Bolt is free for individuals and needs no account. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Bolt on devices you own or control, for your personal use and for your own work, including your professional or freelance work.
Organizational use. Deploying Bolt across an organization, or using its organization features, requires a paid plan or written permission from Sparcle. Organization features include the admin console, company policy, single sign-on (SSO), user provisioning (SCIM), the self-hosted Bolt server, and Aeira. If your organization has an order form, the order form sets the scope of use, including the number of users or devices, the products covered and the term.
License keys. Some features or plans are enabled by a license key or signed license token. That key is for the licensee only. It may not be shared, published or transferred except as an order form allows.
Reservation of rights. We and our licensors keep all rights not expressly granted to you in these Terms.
6. What you may not do
You agree not to do, and not to let anyone else do, any of the following:
- Copy, modify, translate or make derivative works of Bolt, except as these Terms allow.
- Reverse engineer, decompile or disassemble Bolt, or try to discover its source code, except to the extent the law that applies to you allows it despite this restriction.
- Sell, resell, rent, lease, lend, sublicense, or offer Bolt as a hosted or managed service to others, unless an order form allows it.
- Remove, bypass, disable or interfere with any license check, license key, usage limit, or security feature, including code signing, update verification, encryption and masking.
- Remove or change any copyright, trademark or other notice in the Service.
- Use the Service to break any law or regulation, or to violate anyone's rights, including privacy and intellectual property rights.
- Use the Service to access accounts, systems or data you are not authorized to access.
- Use the Service to send spam, malware or other harmful code, or to harass, defraud or harm anyone.
- Use the Service, or any information about how it works, to build, train or improve a competing product or service.
- Run benchmarks of the Service and publish them in a misleading way, or without disclosing the method used.
- Interfere with or overload the website, our update service, or any system connected to the Service.
- Use the Service in violation of export control or sanctions laws (see section 27).
- Use the Service in any situation where its failure could lead to death, personal injury or serious physical or environmental damage, such as operating medical devices, vehicles, aircraft or critical infrastructure.
Good-faith security research done under our vulnerability disclosure policy is allowed, as set out in section 22.
7. Paid plans
Order forms come first. Team and enterprise plans are paid plans. If you buy a paid plan under an order form, the order form and these Terms both apply. If they conflict, the order form controls. Where an order form is an MSA or DPA, that agreement controls over these Terms for the matters it covers.
Fees. You agree to pay the fees set out in your order form or in the pricing we show you when you buy. Unless an order form says otherwise, fees are due in advance and in US dollars.
Taxes. Fees do not include taxes. You are responsible for all sales, use, value-added, withholding and similar taxes on your purchase, other than taxes on our net income.
Renewal. Paid plans renew only as stated in your order form. If your order form does not address renewal, the plan ends at the end of its term unless both parties agree to renew it. Sparcle does not currently sell automatically renewing plans online. If we do in the future, we will give the disclosures and cancellation options the law requires.
Late payment. If fees are not paid when due, we may suspend paid features after giving notice, as described in section 23.
No refunds. Fees are non-refundable and non-cancellable, except as your order form states or as the law requires.
8. Self-hosted deployments
Organizations on paid plans run the Bolt server and the Aeira data plane in their own infrastructure. Sparcle does not host or operate those deployments.
If your organization deploys them, your organization is responsible for:
- the infrastructure, hosting, networking, and access controls they run on;
- installing updates and security patches we make available;
- configuring the software, including policies, retention, and which users and connectors are allowed;
- backing up and protecting the data stored in them; and
- complying with the laws that apply to the data it processes.
We are not responsible for any loss, outage or security incident caused by your infrastructure, your configuration, or your failure to apply an update we made available.
9. Your content and your accounts
You own your content. These Terms do not give Sparcle any ownership of your content.
Sparcle does not receive your content. Bolt runs on your device, and self-hosted deployments run in your organization's infrastructure. Sparcle does not receive your content as part of how the Service works, and Bolt sends no telemetry. The Privacy Policy explains this in detail. Because we do not hold your content, we cannot restore it, export it, or delete it for you.
If you choose to send us content, for example in a support request or bug report, you give us permission to use it only to respond to you and to fix the issue.
You are responsible for your content. You confirm that you have the rights and permissions needed to use your content with the Service, including any content that belongs to your employer, clients or other people.
Your third-party accounts and keys. Bolt connects to services you choose, such as Google, Microsoft and Slack, and to AI model providers you choose, such as OpenAI, Anthropic, Google, OpenRouter, or a model you run locally. It does so with your own accounts, credentials and API keys. You are responsible for:
- keeping your accounts, passwords, tokens and API keys safe;
- all activity that happens through them;
- any fees those providers charge you, including AI usage charges; and
- following those providers' own terms and policies, including their acceptable use and data policies.
Your relationship with each of those providers is between you and them. Sparcle is not a party to it.
10. AI features and AI output
Bolt includes features that use AI models to search, summarize, draft, answer questions and take actions. AI output is generated by a model, not written by Sparcle.
AI output can be wrong. It may be inaccurate, incomplete, out of date, biased or offensive. It may look confident even when it is wrong. The same request may give different results each time.
You must review it. You are responsible for checking AI output before you rely on it, share it, send it or act on it.
It is not professional advice. AI output is not medical, legal, financial, tax, investment, or other professional advice. Do not use it as a substitute for a qualified professional.
Your choice of model. You choose which AI provider or model Bolt uses. When content goes to a third-party provider, that provider's terms and data practices apply. We do not control and are not responsible for any AI provider's models, outputs, availability or handling of data.
As between you and Sparcle, and to the extent the law allows, you own the AI output you generate with the Service. Output may not be unique, and other users may receive similar output.
11. Sensitive-data detection and masking
Bolt can detect certain sensitive information, such as personal data or secrets, and mask it or warn you before it is sent to an AI model or website. This is an assistive feature. It is not a guarantee.
Detection is not perfect. It may miss sensitive information, and it may flag information that is not sensitive. Masking and warnings do not replace your own judgment or your organization's policies. You remain responsible for what you choose to send, and for complying with any law, contract or policy that applies to that information.
Sparcle is not liable for any disclosure of information that detection or masking did not catch.
12. Agents, automations and commands you approve
Bolt can work with coding agents and other automations. These can read files, change files, send messages, and run commands on your computer or in connected services, after you approve them.
When you approve an action, or set Bolt to approve actions automatically, you are responsible for that action and its results. This includes deleted or changed files, messages sent, purchases made, commands run, and any effect on your systems or on others.
Before you approve an action, review it. Use agents and automations only on systems and data you are authorized to use, and keep backups. Sparcle is not liable for the results of actions you or your organization approved or allowed.
13. Password vault and master password
Bolt includes a password vault protected by a master password that only you hold. Sparcle never receives your master password or the contents of your vault.
We cannot recover it. If you forget or lose your master password, Sparcle cannot reset it, recover it, or recover the data it protects. Your vault data may be lost for good. Any recovery option that exists is one you or your organization set up and control.
You are responsible for choosing a strong master password, keeping it secret, and keeping any recovery material safe. You are also responsible for the security of the devices on which you use the vault.
14. Secure Sync and backups
Secure Sync copies your encrypted Bolt data between your devices through storage you choose and control, such as your own cloud drive. Sparcle does not host that storage and cannot access, restore or recover what is in it.
Sync can fail, conflict or be delayed. Your storage provider may delete, lose or limit access to your files under its own terms. You are responsible for keeping your own backups of any data that matters to you. Sparcle is not liable for lost, corrupted or out-of-date data.
15. Built-in browser and browser extension
Bolt includes a built-in browser and a browser extension. Websites you visit through them are run by third parties and are subject to those websites' own terms and policies. Sparcle is not responsible for any website's content, security or practices.
The extension works with the Bolt app on your computer, or with your organization's own Bolt server. You are responsible for which sites you visit, what you enter, and what you allow the extension to fill, capture or send.
16. Third-party services and links
The Service works with, links to, or relies on services, websites, software and content provided by others. Examples include email, calendar and chat services, cloud storage, AI model providers, app stores, and download hosts.
We do not control these third parties. We do not endorse them and are not responsible for them, including their availability, accuracy, security, data handling, fees or changes. Your use of a third-party service is at your own risk and is governed by that third party's terms.
A third party may change or stop offering an integration at any time. If that happens, the related features of Bolt may stop working, and we are not liable for that.
17. Beta and Labs features
Some features are marked as beta, preview, experimental or Labs. These features:
- are provided "as is," with no warranty and no support commitment;
- may be incomplete, contain errors, or cause data loss;
- may change or be removed at any time, without notice; and
- are not covered by any service level or commitment in an order form, unless the order form says so.
Use them at your own risk, and do not rely on them for important work.
18. Updates
Bolt checks for and installs updates automatically, so that you get security fixes and improvements. By using Bolt, you agree to receive these updates. Your organization may manage updates through its own settings.
Updates may add, change or remove features. We may stop supporting older versions, operating systems or devices. We are not required to provide any particular update, feature, or support for any period of time, unless an order form says so.
19. Feedback
If you send us ideas, suggestions, bug reports or other feedback, you grant Sparcle a worldwide, perpetual, irrevocable, royalty-free license to use it for any purpose, without any duty to you. You are not required to send feedback. We are not required to use it.
Do not include confidential information or your content in feedback unless you are comfortable with us using it this way.
20. Intellectual property and trademarks
The Service, including its software, design, text, graphics and documentation, is owned by Sparcle Inc. or its licensors and is protected by copyright, trademark, patent, trade secret and other laws.
"Sparcle," "Bolt," "Aeira" and related names and logos are trademarks of Sparcle Inc. You may not use them without our prior written permission, except to refer to our products accurately and in a way that does not suggest we endorse or sponsor you.
Patent pending. Bolt and Aeira incorporate technology covered by eight provisional patent applications filed with the United States Patent and Trademark Office. What each one covers, and what a provisional application does and does not mean, is set out at Patents and intellectual property. Filing details are available to enterprise customers, design partners and investors under NDA.
21. Open source components
Bolt is not open source, but it includes some third-party open source components. Those components and their licenses are listed in the notices included with the software, and a copy is available on request at bolt@sparcle.app.
Those licenses, not these Terms, govern those components. Nothing in these Terms limits any rights you have under those licenses.
22. Security research and vulnerability disclosure
We welcome good-faith security research. If you think you have found a security issue, please follow our vulnerability disclosure policy.
Research that follows that policy is authorized by us, and we will not treat it as a breach of the restrictions in section 6. That authorization covers only the Service and only the testing the policy permits. It does not cover any third-party service, or any other person's data, accounts or systems.
23. Suspension and termination
By you. You may stop using the Service at any time by uninstalling Bolt. For paid plans, ending a plan early is governed by your order form, and fees already paid or due remain payable.
By us. We may suspend or end your right to use all or part of the Service, with or without notice, if:
- you breach these Terms or an order form;
- we reasonably believe your use creates a security, legal or safety risk for us, other users or third parties;
- fees are past due on a paid plan; or
- we are required to by law.
For paid plans, we will try to give notice and a chance to fix the problem first, unless the problem is serious or we are legally prevented from doing so. An order form may set different rules.
We may also stop offering the Service, or any version or feature of it, at any time. For paid plans, our obligations on discontinuation are set by the order form.
What happens next. When your right to use the Service ends, your license ends and you must stop using Bolt and any license keys. Because your content lives on your devices or in your own infrastructure, you keep it. Sections that by their nature should survive will survive, including sections 9, 10, 11, 12, 13, 14, 19, 20, 23 through 33.
24. Disclaimer of warranties
To the fullest extent permitted by law, the Service is provided "as is" and "as available," with all faults and without warranties of any kind.
Sparcle, its affiliates, licensors and suppliers disclaim all warranties, whether express, implied, statutory or otherwise. This includes any warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
Without limiting the above, we do not warrant that:
- the Service will be uninterrupted, timely, secure or error-free;
- defects will be corrected;
- the Service will be compatible with any device, operating system, browser or third-party service;
- AI output, search results, detection or masking will be accurate, complete or reliable;
- your data will not be lost or corrupted; or
- the Service will meet your requirements or any legal or regulatory obligation you have.
Any written warranty in a signed order form is the only warranty that applies to that paid plan. Some jurisdictions do not allow certain warranties to be excluded. In those places, the exclusions above apply only to the extent the law allows.
25. Limitation of liability
No indirect damages. To the fullest extent permitted by law, Sparcle, its affiliates, and their officers, directors, employees, agents, licensors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages. They will also not be liable for any loss of profits, revenue, business, goodwill or anticipated savings, loss or corruption of data, cost of substitute goods or services, or business interruption. This applies however the loss arises, under any theory of liability, including contract, tort (including negligence), strict liability or otherwise, even if we were told the loss was possible.
Overall cap. To the fullest extent permitted by law, the total liability of Sparcle and the parties listed above, for all claims of any kind relating to the Service or these Terms, will not exceed:
- for free use: one hundred US dollars (USD 100); and
- for paid use: the fees you actually paid to Sparcle for the Service in the 12 months before the event that gave rise to the claim.
An order form may set a different cap for that paid plan. If it does, the order form controls.
Why these limits exist. These limits are an essential part of the agreement between you and Sparcle. They reflect a fair allocation of risk, and they allow us to offer Bolt free to individuals. They apply even if a limited remedy fails of its essential purpose.
What is not limited. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limits above may not apply to you. Nothing in these Terms limits liability that cannot be limited under the law that applies, such as liability for fraud, or for death or personal injury caused by negligence where the law does not allow that to be limited.
26. Indemnity
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Sparcle, its affiliates, and their officers, directors, employees and agents from any claims, losses, damages, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your use or misuse of the Service;
- your content, including content you send to AI providers or other third parties;
- actions taken by agents or automations that you or your organization approved or allowed;
- your breach of these Terms or an order form;
- your violation of any law or regulation; or
- your violation of any third party's rights, including privacy and intellectual property rights, or of any third-party service's terms.
We may choose to control the defense of any claim covered by this section, at your expense, and you agree to cooperate. You may not settle a claim that affects Sparcle without our prior written consent. For paid plans, any indemnity terms in the order form control.
If you use the Service as a consumer, this section applies to you only to the extent permitted by the law that applies to you.
27. Export control and sanctions
The Service may be subject to United States and other export control and sanctions laws, including the Export Administration Regulations and sanctions administered by the Office of Foreign Assets Control. You agree to comply with all of them.
You confirm that you are not located in, organized in, or ordinarily resident in a country or region subject to comprehensive US sanctions, and that you are not on, or owned or controlled by anyone on, any US government list of restricted or prohibited parties. You will not export, re-export or transfer the Service to any such place or person, or use it for any purpose the law prohibits, including the development of weapons of mass destruction.
28. Government users
The Service is "commercial computer software" and "commercial computer software documentation," as those terms are used in the Federal Acquisition Regulation (FAR) and the Defense Federal Acquisition Regulation Supplement (DFARS). If the Service is acquired by or for the US government, the government's rights are limited to those granted to all other users under these Terms, under FAR 12.212 and DFARS 227.7202, as applicable. Any other government use requires a written agreement with Sparcle.
29. Governing law and venue
These Terms, and any dispute relating to them or to the Service, are governed by the laws of the State of California, USA, where Sparcle has its principal office, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to section 30 and section 31, any lawsuit relating to these Terms or the Service must be brought only in the state or federal courts located in Santa Clara County, California. You and Sparcle consent to the personal jurisdiction of those courts and waive any objection to venue there.
If you are a consumer, choosing California law does not take away the protection of any mandatory law of the country where you live, as described in section 31.
30. Dispute resolution
Talk to us first. Most problems can be solved quickly and informally. Before starting any formal proceeding, you agree to send us a written notice at bolt@sparcle.app describing the dispute and the relief you want. We will do the same if we have a dispute with you, using the contact details we have for you.
Both parties will then try in good faith to resolve the dispute informally for at least 60 days after the notice is received. Neither party may start a lawsuit or other formal proceeding during that period, except to seek temporary or emergency relief or to stop a deadline from passing.
Courts. If the dispute is not resolved within those 60 days, either party may bring it in the courts set out in section 29. Either party may also seek an injunction or other temporary relief to protect its intellectual property or confidential information in any court with jurisdiction, at any time.
Time limit. To the extent the law allows, any claim relating to these Terms or the Service must be started within one year after it arose. After that, it is permanently barred.
31. Consumer rights
If you are a consumer, you may have rights under the laws of the place where you live that cannot be waived or limited by contract. This includes consumers in the European Union, the United Kingdom and California. Nothing in these Terms affects those rights.
Where those laws apply and conflict with these Terms, those laws control to the extent of the conflict. This includes rules about warranties, limits of liability, governing law, and the courts in which you may bring a claim. If you are a consumer in the European Union or the United Kingdom, you may also bring a claim in the courts of the country where you live.
California users. Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
32. General terms
Entire agreement. These Terms, the Privacy Policy, and any order form are the entire agreement between you and Sparcle about the Service. They replace any prior or separate agreements, proposals or statements about the same subject. Terms in your purchase order or other documents do not apply, even if we accept or sign them, unless we expressly agree in writing.
Order of precedence. If there is a conflict, the order form controls, then these Terms, then any other policy or document referenced in them.
Severability. If any part of these Terms is found invalid or unenforceable, that part will be limited or removed only as much as needed, and the rest of the Terms will remain in full effect.
No waiver. If we do not enforce a part of these Terms, that does not mean we give up our right to enforce it later. A waiver is effective only if it is in writing and signed by us.
Assignment. You may not assign or transfer these Terms, or any rights under them, without our prior written consent. Any attempt to do so is void. We may assign these Terms without your consent, including in connection with a merger, acquisition, reorganization or sale of assets. These Terms bind and benefit each party's permitted successors and assigns.
Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control. Examples include natural disasters, fire, flood, war, terrorism, civil unrest, labor disputes, epidemics, government action, power or internet failures, and failures of third-party services or providers. This does not excuse any obligation to pay fees.
Notices. We may give you notices through the Service, on this website, or by email to an address you have given us. You must send legal notices to us at bolt@sparcle.app, unless your order form names a different notice address. A notice is received when sent by email, unless the sender receives a delivery failure message.
Independent parties. You and Sparcle are independent contracting parties. These Terms do not create a partnership, joint venture, employment, agency or fiduciary relationship.
No third-party beneficiaries. These Terms do not give any rights to anyone other than you and Sparcle, except that the persons protected in sections 25 and 26 may rely on those sections.
Headings and language. Headings are for convenience only and do not affect meaning. Words like "including" mean "including without limitation." If we provide a translation of these Terms, the English version controls to the extent the law allows.
Electronic acceptance. You agree that these Terms can be accepted electronically, and that electronic notices and records satisfy any requirement that they be in writing.
